Important: APEX is buying each Gift Card from the named Shop and reselling it as principal. The named Shop, not APEX, undertakes redemption. The exact price, Shop Currency, Voucher Value, Retail Issue Date and Expiry Date shown at checkout form part of the contract.

1. About these Terms and the parties

1.1  These Terms govern your purchase, receipt, holding, transfer and redemption of a shop-specific digital Gift Card sold through the APEX platform. 1.2  APEX means APEX MEND JUSTICE, company number 15503585, of 27 Old Gloucester Street, London, WC1N 3AX. APEX purchases the Gift Card from the named Shop and resells it to you as principal. 1.3  Shop means the participating business identified before you pay and in the Order Confirmation. The Shop issues or creates the underlying shop voucher and is directly responsible for accepting it in redemption. 1.4  Your retail purchase contract is with APEX. You also have the direct right described in clause 9 to require the Shop to honour the Gift Card under the Shop’s separate redemption undertaking. APEX does not guarantee the Shop’s solvency.

2. Definitions

2.1  Customer, you or your means the purchaser; Holder also includes a lawful Recipient or transferee. 2.2  Expiry Date means 15:00 in the Shop’s local time on the date falling 24 calendar months after the Retail Issue Date. 2.3  Gift Card means a non-reloadable, closed-loop digital shop voucher sold by APEX and redeemable only with the named Shop. 2.4  Order Confirmation means APEX’s confirmation identifying the accepted order and its binding particulars. 2.5  Recipient means the person, email, mobile number or wallet nominated to receive the Gift Card. 2.6  Retail Issue Date means the date APEX completes your purchase and activates the Gift Card, not an earlier wholesale batch-creation or minting date. 2.7  Shop Currency means the local currency shown for the named Shop. 2.8  Token Points means the technical units or blockchain tokens representing the Gift Card; the fixed Voucher Value and these Terms control over any external display or market valuation. 2.9  Unused Balance means the part of the Voucher Value not validly redeemed before expiry. 2.10  Voucher Value means the fixed face value in the Shop Currency shown before payment and in the Order Confirmation.

3. Information shown before purchase

3.1  Before you place an order, APEX will show the named Shop, total amount payable, payment value in the shop local currency, fixed Voucher Value, eligible redemption location or network, Retail Issue Date calculation, 24-month validity, delivery method, any transfer restrictions and any excluded goods or services. 3.2  No expiry reminders will be sent and that any Unused Balance expires without refund to you. 3.3  You must check the Shop, Recipient information, wallet address, blockchain network, payment amount, Voucher Value and Shop Currency before confirming your order. This does not excuse an error caused by APEX’s failure to follow information correctly submitted by you. 3.4  The checkout information and Order Confirmation form part of these Terms. If they conflict with general wording, the specific order information controls.

4. Local currency, pricing and exchange rates

4.1  The Gift Card is issued and redeemable in the Shop Currency. Its Voucher Value becomes fixed on the Retail Issue Date and does not increase or decrease because an exchange rate later changes. 4.2  APEX independently sets the total retail price. It may include APEX’s trading margin, payment-processing expenses, currency-conversion costs, fraud and chargeback costs, technical costs and an allowance for exchange-rate risk. 4.3  The retail price is not calculated by applying the interbank, spot, Google, card-network or another reference rate unless checkout expressly says so. Any estimate you make using an external rate may therefore differ from the APEX Retail Price or Voucher Value. 4.4  Before payment you will see both (a) the exact total you must pay in the payment currency and (b) the exact Voucher Value in the Shop Currency. There will be no undisclosed mandatory charge added afterwards and no undisclosed deduction from the stated Voucher Value. 4.5  Prices of the Shop’s goods and services may change. The Gift Card gives you the stated amount of Shop Currency value, not a guaranteed quantity of goods or purchasing power.

5. Orders, payment and formation

5.1  You make an offer by submitting the order and authorising payment. APEX accepts when it sends the Order Confirmation and activates the Gift Card, subject to any payment-verification wording clearly stated in the confirmation. 5.2  You must use a payment method you are authorised to use. APEX may refuse, suspend or cancel an order where reasonably necessary to prevent fraud, correct an obvious pricing error, comply with sanctions or law, or investigate an unauthorised payment. 5.3  If APEX refuses a paid order before issue, APEX will return the payment to the original payment method unless another method is agreed or law permits otherwise. 5.4  Your payment is made to APEX as the principal seller and belongs to APEX as retail sale proceeds. APEX separately owes the Shop a wholesale purchase price.

6. Delivery, activation and technical record

6.1  After payment confirmation and proportionate fraud or compliance checks, APEX will activate and deliver the Gift Card to the destination selected at checkout. 6.2  You must tell APEX promptly if the Gift Card is not delivered, contains incorrect issue data or cannot be accessed. APEX will investigate and, where responsible, correct, redeliver, replace or refund as required by law. 6.3  The Shop ledger, APEX Order Record and relevant verified blockchain records are evidence of issue, ownership, transfer, balance, redemption and expiry, but are not conclusive where there is manifest error, duplication, fraud or system failure. 6.4  A blockchain transfer to an address or network entered incorrectly by you may be irreversible. APEX is not responsible for a loss caused solely by your incorrect instruction where APEX accurately executed that instruction, subject to mandatory law.

7. Cancellation and refunds before use

7.1  Where the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you a right to cancel, the cancellation period is normally 14 days beginning on the day after the contract is made, subject to the Regulations and any lawful exception. 7.2  If you request immediate digital issue, checkout may ask for your express request for immediate supply and acknowledgement concerning the effect on any cancellation right. 7.3  You cannot obtain a change-of-mind refund for Gift Card already sent to a third party or value already redeemed, transferred away or otherwise consumed. This does not affect remedies for misdescription, non-supply, unauthorised payment, a faulty Gift Card or another breach. 7.4  Any refund due from APEX will normally be initiated within 21 days after entitlement is established, subject to payment-provider processing time. APEX may first cancel the Gift Card or reduce its balance by the refunded value.

8. Validity, expiry and no reminders

8.1  The Gift Card is valid for 24 calendar months from the Retail Issue Date. 8.2  Neither APEX nor the Shop will send expiry reminders. You and any later Holder are solely responsible for monitoring the Expiry Date. 8.3  At the Expiry Date, the Gift Card and every Unused Balance automatically cease to be redeemable or transferable. No expired amount will be refunded to you, extended, replaced, reinstated or exchanged for cash. 8.4  Transfer to another Holder, partial redemption, inactivity, loss of access or failure to remember the Expiry Date does not extend the validity period. APEX and the Shop cannot shorten or make longer the period after issue.

9. Redemption by the named Shop

9.1  The Gift Card may be redeemed only with the named Shop, in the Shop Currency, for eligible goods or services and at the locations or channels shown before purchase. 9.2  The Shop has undertaken directly to each lawful Holder to accept a valid Gift Card at face value until the Expiry Date. 9.3  The Shop may refuse only an evidenced invalid, expired, exhausted, duplicated, unlawfully obtained or lawfully suspended Gift Card, or where redemption would be unlawful. 9.4  If the purchase exceeds the Unused Balance, the Shop may require you to pay the difference using a method it accepts. Unless clearly stated before purchase, the Gift Card gives no right to cash change. 9.5  Partial redemption is available only if stated at checkout. If it is available, the remaining balance keeps the original Expiry Date.

10. Nature and restrictions

10.1  The Gift Card is not a bank account, deposit, savings product or investment, pays no interest and is not intended as a general means of payment. 10.2  It cannot be reloaded, redeemed for cash, used to withdraw cash, exchanged between shops, used to purchase another stored-value instrument. 10.3  Token Points are the technical representation of the Gift Card only. They do not have an independent guaranteed market value and do not represent shares, investment returns or a general claim to money from APEX.

11. Transfers and recipients

11.1  Where transfer is enabled, you may give or transfer the Gift Card to a Recipient through an approved method. You must verify the Recipient, wallet, destination and network before confirming. 11.2  A valid transfer gives the Recipient the remaining rights attached to the Gift Card, subject to the same named Shop, Shop Currency, Unused Balance and Expiry Date. It does not renew or extend the Gift Card. 11.3  A Recipient may enforce the Shop’s redemption undertaking but does not obtain a greater right than the transferor lawfully held. The purchaser remains responsible for disputes about an unauthorised gift or transfer that the purchaser initiated.

12. Lost, stolen or compromised access

12.1  You must protect Gift Card codes, wallet keys and authentication information and notify APEX promptly if access is lost or compromised. 12.2  APEX and the Shop will take reasonable technical steps available to investigate and, where possible, freeze an unspent balance after entitlement is verified. They cannot promise reversal or replacement where an on-chain transfer or redemption is technically irreversible and neither is legally responsible for the compromise.  

13. Faults and incorrect balances

13.1  A Gift Card is faulty if, because of an act, omission or system for which APEX or the Shop is responsible, it cannot be accessed or redeemed according to the contract, was issued for the wrong value or destination despite correct instructions, or displays an incorrect balance. 13.2  The responsible business will investigate reasonably sufficient evidence and, as appropriate, restore access, correct the balance, replace the affected value or provide another remedy required by law within a reasonable time and without charge.

14. Shop closure or insolvency

14.1  The Shop remains contractually responsible for redemption if it closes an outlet, ceases trading or becomes insolvent. However, insolvency law may prevent full recovery and you may rank only as an unsecured creditor. 14.2  Unless checkout expressly identifies a funded guarantee, trust, insurance or safeguarding arrangement, APEX does not guarantee the Shop’s solvency and the Gift Card value is not protected by the Financial Services Compensation Scheme. 14.3  APEX may suspend new Gift Card sales where it reasonably believes the Shop may be unable to honour outstanding cards. Suspension does not cancel existing Gift Cards.

15. Prohibited use and compliance checks

15.1  You must not use the Gift Card for unlawful goods or services, fraud, money laundering, sanctions evasion, market manipulation or another unlawful purpose. 15.2  APEX or the Shop may request proportionate identity, payment-authorisation, wallet or source-of-funds information where reasonably necessary to prevent fraud, comply with sanctions or law, or manage genuine regulatory risk. 15.3  A Gift Card may be temporarily suspended while a proportionate investigation is completed. Suspension must not be used to avoid a valid redemption or refund obligation.

16. Liability

16.1  APEX is responsible for foreseeable loss caused by its breach of these Terms or failure to use reasonable care and skill in the retail sale, checkout, issue and technical services it controls. 16.2  APEX is not responsible merely because the Shop becomes insolvent or refuses redemption, unless APEX caused the loss, expressly guaranteed the Shop or applicable law provides otherwise. 16.3  You may be responsible for loss caused by your fraud, deliberate disclosure of credentials or incorrect transfer instruction, subject to applicable law.

17. Personal information

17.1  APEX and the Shop process personal information under their applicable privacy notices and data-protection law, ordinarily as separate controllers for their respective purposes. 17.2  Checkout will link to the relevant privacy notice and identify material sharing with the Shop, payment providers, wallet providers and fraud-prevention services.

18. Complaints

18.1  Send a complaint about APEX’s sale, checkout, delivery or technical service to admin@apex-mj.com. Send a redemption, Shop balance, goods or Shop closure complaint to the Shop contact shown in the Order Confirmation. You may copy both where responsibility is unclear. 18.2  Investigate fairly and provide a reasoned final response, normally within 15 Business Days.

19. Changes, general terms and governing law

19.1  If a provision is unlawful or unenforceable, the remainder continues. Delay in enforcing a right is not a waiver. These Terms and the checkout information constitute the agreement concerning the Gift Card, without excluding liability for misrepresentation or statutory rights. 19.2  These Terms are governed by the law of England and Wales in London.
